Terms of Service

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding agreement on behalf of yourself or your organization. By using Ubee AI on behalf of a Company, you confirm that you have the authority to bind that Company to these Terms.

3. Description of Service

Ubee AI is a B2B SaaS platform that helps businesses manage customer interactions, including but not limited to:

• AI chatbots and conversational assistants
• CRM and lead management
• Workflow automation
• Unified messaging across channels including WhatsApp, Instagram, Messenger and Telegram
• Analytics and reporting

4. Account Registration and Security

• You are responsible for maintaining the confidentiality of your login credentials.
• You agree to provide accurate, current and complete information during registration.
• You are fully responsible for all activities that occur under your account.
• You must notify us immediately at hello@ubee.kz of any unauthorized access or security breach.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful, fraudulent or harmful purpose
• Send spam, unsolicited messages or any content that violates the Meta Platform Terms, WhatsApp Business Messaging Policy or Instagram Community Guidelines
• Send hateful, harassing, violent, sexually explicit or discriminatory content
• Upload false, misleading, defamatory or illegal content
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to systems, accounts or data
• Reverse engineer, scrape, copy or resell the Service without our written consent
• Use the Service to violate any applicable laws, regulations or third-party rights

You are solely responsible for the content of messages you send through connected channels and for obtaining all required consents from recipients.

6. Use of Meta Platforms

When you connect Facebook, Instagram or WhatsApp Business accounts to Ubee AI, you must also comply with the applicable Meta policies, including the Meta Platform Terms, WhatsApp Business Solution Terms, WhatsApp Business Messaging Policy and Instagram Platform Policy. We may suspend or restrict integrations to comply with Meta's requirements or to protect users.

7. Payments and Subscription

Some features of Ubee AI require payment or a subscription. Prices, billing cycles and payment terms are described inside the Service and at https://ubee.kz/payment-policy.

All payments are processed by licensed payment providers. Unless otherwise stated, payments are non-refundable except as set out in our Refund Policy.

We may change pricing with at least 30 days prior notice. Continued use of the Service after the change becomes effective constitutes acceptance.

8. Data and Content Ownership

You retain ownership of all Content you upload to the Service.

You grant Ubee AI a limited, worldwide, non-exclusive license to host, store, process and transmit your Content solely to provide and improve the Service.

We do not sell your data, and we do not use data obtained through Meta APIs for advertising or any purpose other than operating the Service for you.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use and protect personal data.

10. Third-Party Services

The Service may integrate with third-party services (e.g., Meta Platforms, payment providers, messaging platforms, AI model providers). We are not responsible for the availability, functionality, content or policies of third-party services. Your use of those services is governed by their own terms.

11. Service Availability

We aim to provide reliable and continuous access to the Service, but the Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation. We may perform maintenance, updates and modifications from time to time.

12. Suspension and Termination

We may suspend or terminate your access to the Service if:

• You violate these Terms or the policies of integrated platforms (including Meta)
• Required payments are overdue
• Your use poses security, legal or reputational risks
• We are required to do so by law or competent authority

You may terminate your account at any time by contacting hello@ubee.kz.

13. Disclaimer and Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided without warranties of any kind, express or implied.
• Ubee AI shall not be liable for indirect, incidental, special, consequential or punitive damages.
• Our total aggregate liability shall not exceed the amount paid by you for the Service during the previous 12 months.

14. Indemnification

You agree to indemnify, defend and hold harmless Ubee AI, its affiliates, officers and employees from any claims, damages, losses or expenses arising from your use of the Service, your Content, or your violation of these Terms or applicable law.

15. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Kazakhstan, without regard to conflict of laws rules. Any dispute shall be resolved by the competent courts located in Almaty, Kazakhstan, unless mandatory consumer law of your country of residence provides otherwise.

16. Changes to Terms

We may update these Terms from time to time. The latest version will always be available at https://ubee.kz/terms. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
